Terms of Service

1. Definitions
2. Governing Law & Jurisdiction

These Terms are governed by the laws of the State of Wyoming. Subject to Section 15, the parties consent to the exclusive jurisdiction of the courts of Sheridan County, Wyoming for disputes not subject to arbitration. Nothing limits any mandatory statutory rights a Client may have under applicable consumer protection laws.

3. Scope of Services

Westbridge provides full-service B2B outbound revenue systems including ICP definition and lead sourcing, domain and mailbox infrastructure, email campaign build and execution, reply management and conversion handling, calendar booking and appointment delivery, LinkedIn outreach, CRM integration, and related pipeline management services.

No Outcome Guarantees. Westbridge does not guarantee specific commercial outcomes — including meeting volumes, pipeline value, revenue generated, or appointment-to-close rates — unless expressly warranted in a signed Order. Results depend on Client ICP quality, market conditions, and factors outside Westbridge’s direct control.

CAN-SPAM Compliance. All campaigns include accurate sender identification, non-deceptive subject lines, functioning opt-out mechanisms, and opt-out processing within 10 business days per 15 U.S.C. § 7701 et seq. Client is responsible for ensuring their ICP definition complies with applicable anti-spam and telemarketing laws.

5. Fees, Payment & Auto-Renewal

All fees are in USD as stated in the Order. Setup fees are due on Order confirmation. Monthly retainer fees are due on the first business day of each service month. Late payments accrue interest at 1.5% per month. Monthly retainer services renew automatically unless cancelled with 14 days’ written notice before the renewal date. To cancel, email admin@westbridgeconsulting.com — Subject: “Cancellation Request.”

6. Intellectual Property & Licence

Westbridge retains all right, title, and interest in its proprietary methodologies, targeting frameworks, campaign architecture, and sequence templates. Subject to full payment, Westbridge grants Client a limited, non-exclusive, non-transferable licence to use campaign deliverables for Client’s internal business purposes only. This licence does not include the right to resell, sublicense, or build competing outbound services. For Infrastructure Build engagements, Client takes ownership of the configured infrastructure upon delivery and final payment; Westbridge’s methodologies remain Westbridge’s property.

7. Confidentiality

Each party will protect the other’s Confidential Information with at least reasonable care, use it only to perform or receive the Services, and disclose it only to personnel with a legitimate need to know. Confidentiality obligations survive termination for three years for general Confidential Information and indefinitely for trade secrets.

8. Refund Policy & Service Guarantee

All purchases are final except where required by law, as provided in the Service Guarantee, or where Westbridge terminates without cause. If you believe Westbridge has not met its delivery standard, notify us in writing within 14 days. Westbridge will review in good faith and provide — at Westbridge’s election — re-performance, equivalent service credit, or pro-rata refund for the deficient portion. 9. Disclaimer of Warranties

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” WESTBRIDGE EXPRESSLY DISCLAIMS ALL WARRANTIES, EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE. WESTBRIDGE DOES NOT WARRANT THAT SERVICES WILL BE UNINTERRUPTED OR ERROR-FREE, OR THAT SPECIFIC COMMERCIAL OUTCOMES WILL BE ACHIEVED.

10. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW: (a) NEITHER PARTY WILL BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES; AND (b) WESTBRIDGE’S TOTAL AGGREGATE LIABILITY WILL NOT EXCEED THE TOTAL FEES PAID BY CLIENT IN THE THREE MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY. Excluded from the cap: death or personal injury caused by negligence; fraud or wilful misconduct; and breach of confidentiality.

11. Dispute Resolution

Before formal proceedings, parties agree to 30 days of good faith negotiation. Unresolved disputes will be resolved by binding JAMS arbitration in Sheridan County, Wyoming (or remotely if agreed), with class action waiver. Either party may seek emergency injunctive relief from a court of competent jurisdiction without first exhausting the negotiation process.

12. Indemnification

Client agrees to defend, indemnify, and hold harmless Westbridge from third-party claims arising from Client’s misuse of Services, violation of these Terms, or Client-provided campaign content. Westbridge agrees to defend, indemnify, and hold harmless Client from third-party claims that Westbridge’s proprietary methodologies infringe a valid U.S. intellectual property right.

13. Termination

Westbridge may suspend or terminate Services immediately for non-payment (after 10 business days’ notice), material confidentiality breach, unlawful use, or material breach not cured within 14 days. Client may terminate immediately if Westbridge materially breaches and fails to cure within 30 days; Westbridge will refund pre-paid fees for undelivered Services. Upon termination, all licences to Westbridge Content terminate immediately.

Refund Policy

General Policy

All purchases are final. Westbridge does not offer monetary refunds for retainer services, setup fees, or infrastructure builds except: (a) where required by applicable law; (b) as provided in the Service Guarantee below; or (c) where Westbridge cancels services without cause before delivery commences.

Why this policy exists: Westbridge’s Services involve reserved campaign capacity allocated in advance, proprietary infrastructure configured specifically for each client, and significant preparation time. Once an Order is confirmed and onboarding commences, value is delivered through reserved operational capacity and technical build work.

How to Request a Service Review

Notify us in writing within 14 days of the relevant deliverable. Email admin@westbridgeconsulting.com — Subject: “Service Review Request.” Include your Order reference, the specific deliverable in question, and a description of the deficiency.

Our Make-Good Remedies

If validated, Westbridge will provide — at Westbridge’s election — one of: Re-performance (re-deliver at no charge); Service credit (non-cash credit toward future Services); or Pro-rata refund for the deficient portion where re-performance or credit is not practicable.

Setup Fees

Setup fees are non-refundable once infrastructure build and onboarding has commenced. If Westbridge has not commenced any onboarding work within 5 business days of payment receipt, a full setup fee refund may be requested.

Client Termination for Convenience

Clients may terminate an ongoing retainer with 30 days’ written notice. Upon termination: you owe fees for all Services delivered to date; pre-paid fees for undelivered Services will be credited as a non-cash service credit; no refund is issued for the current calendar month once commenced.

Monthly Retainer Auto-Renewal & Cancellation

Monthly retainer services renew automatically. You will receive a renewal reminder at least 7 days before each monthly renewal at the email address on file.

Cancellation must be received at least 14 days before your renewal date. Service continues through the end of the current paid period. No refund for partial months except where required by law.

California residents: These auto-renewal terms comply with California’s Automatic Renewal Law (Business & Professions Code § 17600 et seq.) as amended. You may cancel at any time using any of the three methods above.
Westbridge-Initiated Cancellation

If Westbridge cancels a confirmed engagement without cause and cannot reschedule within 30 days, you are entitled to a pro-rata refund of fees paid for the undelivered portion.

Payment Disputes & Chargebacks

Before initiating a chargeback, contact admin@westbridgeconsulting.com and allow 10 business days to attempt resolution. Nothing in this section limits statutory chargeback rights.

What This Policy Does Not Cover

Westbridge does not guarantee or refund for: meeting-to-close conversion rates; revenue results or quota attainment; market conditions beyond Westbridge’s control; or outcomes where Client’s ICP definition is inaccurate or changes materially mid-engagement.

Legal Compliance

This Refund Policy complies with the FTC Negative Option Rule (16 C.F.R. Part 425); California Automatic Renewal Law (Business & Professions Code § 17600 et seq.); applicable state consumer protection statutes; and the Federal ESIGN Act. This policy is incorporated into and governed by Westbridge’s Terms of Service.
